Limited Lifetime Warranty

LIMITED LIFETIME GUARANTEE

This Limited Lifetime Guarantee (“Guarantee”) is provided by Padholder LLC (“Company”) to the original purchaser (“Customer”) of the product sold by Company to Customer (“Product”). For the avoidance of doubt, this Guarantee does not cover any items that are not sold by Company to Customer such as tablets, mobile devices, or software. By purchasing or using the Product, Customer agrees to the following terms and conditions:

  1.  Scope of Coverage
    This Guarantee covers defects in materials and workmanship of the Product for the period during which the Customer owns and uses the Product (“Lifetime”), subject to the terms and conditions of this Guarantee.
  2. Eligibility
    • This Guarantee applies only to the Customer and is non-transferable.
    • This Guarantee does not extend to any subsequent owner or other transferee of the Product.
    • Proof of purchase (dated sales receipt or order confirmation) is required to make a claim.
    • Products purchased from unauthorized sellers, third-party resellers, or auction sites are not covered.
  3. Exclusions & Limitations
    This Guarantee does not cover:

    • Normal wear and tear, including scratches, fading, or cosmetic changes that do not affect the Product’s functionality.
    • Damage resulting from transportation, accident, misuse, neglect, abuse, modification, storage, failure to follow care instructions, improper assembly by Customer or a third party, or other actions or events beyond Company’s reasonable control.
    • Product that is assembled by the customer and/or third-party.
    • Loss, theft, or vandalism.
  4. Remedies
    If the Product is found to be defective under this Guarantee, Company, in its sole discretion, will:

    • Repair the Product free of charge;
    • Replace the Product (or defective part) with the same or a comparable model free of charge; or
    • Refund the original purchase price of the Product if Company is unable to repair or replace the Product.The remedy provided shall be the sole and exclusive remedy available to the Customer.
  5. Claims Process
    • To submit a claim, the Customer must contact Company’s Customer Service at cs@padholder.com or 1-877-492-8339.
    • Customer may be required to return the Product (at Customer’s expense unless prohibited by law).
    • Company reserves the right to inspect the Product and determine eligibility for coverage.
  6. Duration of Coverage
    Coverage starts on the date of purchase and lasts for the Lifetime, as defined in paragraph 1 of this Guarantee. Coverage terminates immediately upon resale, transfer, or disposal of the Product. The Lifetime is not extended if Company repairs or replaces the Product. Notwithstanding the foregoing, all tablet stand arm components in any Product are covered for a duration of three (3) years starting on the date of purchase. Company may change the availability of this Guarantee in its discretion, but any changes will not be retroactive.
  7. Disclaimer of Other Warranties
    TO THE EXTENT NOT PROHIBITED BY LAW, THIS GUARANTEE IS EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES, ORAL, WRITTEN, STATUTORY, EXPRESS OR IMPLIED. EXCEPT FOR THE EXPRESS WARRANTIES CONTAINED IN THIS GUARANTEE AND TO THE EXTENT NOT PROHIBITED BY LAW, COMPANY DISCLAIMS ALL OTHER WARRANTIES, EXPRESSED OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING WITHOUT LIMITATION, THE WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. SOME STATES DO NOT ALLOW DISCLAIMERS OF IMPLIED WARRANTIES, SO THIS DISCLAIMER MAY NOT APPLY TO CUSTOMER. TO THE EXTENT SUCH WARRANTIES CANNOT BE DISCLAIMED UNDER THE LAWS OF CUSTOMER’S JURISDICTION, COMPANY LIMITS THE DURATION AND REMEDIES OF SUCH WARRANTIES TO THE DURATION OF THIS GUARANTEE.
  8. Limitation of Liability
    THE REMEDIES DESCRIBED IN THIS GUARANTEE ARE CUSTOMER’S SOLE AND EXCLUSIVE REMEDIES AND COMPANY’S ENTIRE LIABILITY FOR ANY BREACH OF THIS GUARANTEE. COMPANY’S LIABILITY SHALL UNDER NO CIRCUMSTANCES EXCEED THE ACTUAL AMOUNT PAID BY CUSTOMER FOR THE DEFECTIVE PRODUCT, NOR SHALL COMPANY UNDER ANY CIRCUMSTANCES BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES OR LOSSES, WHETHER DIRECT OR INDIRECT. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO CUSTOMER.
  9. Governing Law
    This Guarantee shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law principles.
  10. Severability
    If any provision of this Guarantee is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
